This document provides essential information about the terms and conditions governing your use of our software engineering services, cloud infrastructure, and related products. By accessing or using our services, you agree to adhere to these terms.
1. Use of Website Materials
Permission is granted to temporarily view the materials on this website for personal, non-commercial, informational purposes only. This is a grant of a limited license, not a transfer of title.
Under this license you may not modify or copy the materials, use the materials for any commercial purpose or public display, attempt to decompile or reverse engineer any software contained on this website, remove any copyright or proprietary notations from the materials, or transfer the materials to another person or mirror the materials on any other server. This license shall automatically terminate if you violate any of these restrictions.

Faber Edge has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. 3. Engagements and Deliverables
All project scopes, timelines, and deliverables will be strictly defined in a mutual Statement of Work (SOW) prior to the commencement of any engineering. Faber Edge operates on fixed-scope, fixed-cost models unless otherwise stipulated.
Any requests for features or architectural shifts outside the agreed SOW will be subject to a formal Change Request and may incur additional costs. We reserve the right to pause engineering services if invoice payments are delayed beyond the agreed net terms.
4. Intellectual Property
Upon final deployment and receipt of full payment, all intellectual property rights for custom software and codebases created specifically for the Client under an SOW are fully transferred to the Client.
Pre-existing IP: Faber Edge retains the rights to any pre-existing proprietary tools, open-source libraries, boilerplates, and generic algorithms utilized during development. We grant the Client a perpetual, royalty-free license to use these embedded tools as part of the delivered system. No license is granted to copy, modify, or redistribute our proprietary IP outside the delivered system.
5. Confidentiality and Security
Both parties agree to strict confidentiality. Faber Edge will not disclose proprietary business logic, data models, or unreleased product features to any third party without explicit written consent.
While we adhere to industry-standard security practices, the Client is ultimately responsible for maintaining the security of their own credentials, API keys, and access tokens once handed over.
6. AI and Machine Learning Systems
For projects involving Artificial Intelligence (AI) and Machine Learning (ML) integration:
- Probabilistic Nature: The Client acknowledges that AI-generated output is probabilistic and may occasionally produce inaccurate, inappropriate, or biased content ("hallucinations").
- Output Verification: The Client is solely responsible for human-in-the-loop review and verification of all AI-generated output before utilizing it in a production environment.
- Third-Party Models: Our systems may rely on foundation models (e.g., OpenAI, Anthropic). Your use of the final product is also subject to the Terms of Service of those respective AI providers.
7. Disclaimer of Warranties
The service and delivered software are provided on an "AS IS" and "AS AVAILABLE" basis, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Faber Edge does not warrant that the software will be uninterrupted, error-free, completely secure, or that AI-generated output will be accurate.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Faber Edge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including data loss, revenue loss, or operational downtime caused by third-party cloud providers or malicious external attacks occurring after handover.
Jurisdictional Carve-out: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the maximum extent permitted by law. In no event shall our total aggregate liability exceed the total amount paid by the Client for the specific phase of the SOW under which the claim arose.
9. Indemnity
You agree to defend, indemnify, and hold harmless Faber Edge and its officers, directors, and employees from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from: (i) your use of and access to the delivered software; (ii) your violation of any term of these Terms of Use; (iii) your violation of any third-party right, including copyright, property, or privacy right.
10. Governing Law and Venue
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Disputes will be brought exclusively in the state and federal courts located in Nigeria.
11. Changes to Terms
We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date. Your continued use of Faber Edge services after changes are posted constitutes your binding acceptance of the revised Terms.
